AEDIT Medspa P.C. d/b/a AEDIT Cosmetic Wellness (“AEDIT Medspa”, “we”, “us”, or “our”) is a California professional medical corporation providing in-person elective cosmetic, dermatologic, regenerative, hormonal, and wellness services under the supervision of a licensed medical director. These Terms and Conditions (this “Agreement” or “Terms”) govern your access to and use of our in-clinic services (collectively, the “Services”). By scheduling an appointment or receiving any Services from AEDIT Medspa, you (“you,” “your,” or “patient”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you should not schedule or receive Services from us.
Our Services are offered solely within the United States and may only be received at our physical location in California. We do not offer the Services to individuals outside the U.S. (e.g., residents of the European Union or other jurisdictions). All Services are provided in compliance with applicable California and U.S. laws and regulations. These Terms are written in a user-friendly tone similar to our Privacy Policy and are intended to be clear and accessible while remaining legally enforceable.
Definition of Services: AEDIT Medspa’s Services consist of in-person elective medical and wellness treatments and procedures, including but not limited to cosmetic injectables, laser therapies, skin rejuvenation, regenerative therapies (e.g., PRP), hormonal optimization, weight management programs, and related health and wellness services provided at our clinic under a physician’s supervision. All Services are elective and supplemental to your general healthcare; they are not emergency or primary care services. We perform all procedures in a medical setting with qualified licensed providers in accordance with California law.
Adult Patients and Minors: You must be at least 18 years old to receive our Services. By scheduling an appointment, you represent and warrant that you meet this minimum age requirement. If you are under 18 and we choose to offer a specific Service (such as a limited skincare treatment) to a minor, parental or legal guardian consent is required, and a parent/guardian may need to be present during the treatment, in accordance with applicable law. We reserve the right to refuse treatment to minors even with consent, depending on the Service and the minor’s best interests.
Patient Health and Medical History: To ensure safety and appropriate care, you agree to provide accurate, complete, and up-to-date medical information before receiving any Service. This includes disclosing your medical history, conditions, allergies, medications or supplements, and any other relevant health information or changes in health status. You must inform us prior to each treatment if you: (a) have any new or existing medical conditions, illnesses, or injuries; (b) are or suspect you may be pregnant, nursing, or trying to become pregnant; (c) have had recent procedures or changes in medications; or (d) have any other condition (such as a pacemaker, epilepsy, etc.) that could be relevant to your treatment. You are responsible for notifying us of any changes to your health or medications since your last visit. AEDIT Medspa is not responsible for any adverse effects or complications arising from your failure to disclose truthful and complete information.
Candidacy and Medical Evaluation: All Services are subject to a preliminary evaluation by our medical professionals. No provider-patient relationship is established until we have evaluated you and accepted you as a patient for a specific Service. We reserve the right to decline to provide a particular treatment if you are not an appropriate candidate or if it would be medically inadvisable. Services provided may vary based on your individual needs and our professional judgment. We do not guarantee acceptance of every person for every Service; even if a Service is advertised, only a qualified medical provider can determine after evaluation whether it is appropriate for you.
Elective Nature of Services / No Insurance: You understand that our Services are elective cosmetic and wellness treatments and typically not medically necessary. As such, we do not accept insurance for payment of any Services. You agree that you will be personally responsible for all fees associated with the Services and will not seek reimbursement from any health insurance provider (except possibly through applicable HSA/FSA accounts if allowed). We may assist you with financing options or payment plans (e.g., CareCredit or similar, if available), but any third-party financing arrangement is separate from these Terms.
Not for Emergencies or Complex Medical Conditions: Our clinic is not an emergency care facility. If you have a medical emergency, immediately call 911 or go to the nearest emergency room. Do not attempt to use our Services, contact our office, or rely on any information from us in lieu of emergency care. Additionally, our Services might not be appropriate for all medical conditions or concerns. We do not diagnose or treat medical conditions unrelated to the elective Services we offer. You should continue to see your primary care physician or appropriate specialists for any medical issues outside the scope of our Services. Any general health or medical advice we provide is specific to the elective treatments you receive from us and is not a substitute for comprehensive medical care.
Booking Appointments: Appointments for Services can be made by contacting our clinic (e.g., via phone or in person) or through any online scheduling system we offer. When booking, you may be required to provide certain personal information to secure your appointment. A valid credit card is required to be kept on file for all appointment bookings. Your card will not be charged at the time of booking unless otherwise disclosed to you. However, please note our cancellation policy below; late cancellations or no-shows may result in a fee charged to your card on file.
Confirmation and Reminders: We may contact you with appointment confirmations and reminders (by phone, email, and/or SMS) as a courtesy. However, it is ultimately your responsibility to remember your appointment date and time. By providing your contact information, you consent to receive such communications (message/data rates may apply for texts). If you need to update your contact info or opt-out of reminders, please let us know.
Pre-Appointment Requirements: We request that new patients arrive 15 minutes early to their first appointment to complete any necessary intake or consent forms if not completed beforehand. Returning patients should arrive at least 10 minutes before their scheduled time to check in, use any numbing cream if applicable, and prepare for treatment. Arriving late to your appointment may cut short your allotted treatment time, as we must accommodate other patients who have appointments after yours. If you are more than a few minutes late, we will do our best to accommodate you, but we may not be able to extend your session end-time, and in some cases, may need to reschedule your appointment to another day to ensure proper treatment.
Courtesy and Clinic Policies: To maintain a calm, safe environment, we ask that you refrain from cell phone use or set phones to silent while in treatment areas. Young children are not permitted to accompany patients to appointments. Only service animals are permitted in the clinic (no pets), consistent with health regulations. We reserve the right to ask anyone disrupting the environment to leave. Your cooperation with these policies helps us provide the best experience for all patients.
We understand that sometimes you may need to cancel or change an appointment. However, because our providers’ time is reserved especially for you, we have the following cancellation policy:
Advance Notice Required: Please give us at least twenty-four (24) hours’ notice if you need to cancel or reschedule your appointment. You may do so by calling our office during business hours (or using any online cancellation feature, if available). Cancelling with sufficient notice allows us to offer that time to other clients who may be waiting.
Late Cancellations and Rescheduling: If you cancel or request to reschedule an appointment with less than twenty-four (24) hours’ notice, the appointment will be considered a late cancellation. Late cancellations and late rescheduling requests are subject to a $100 fee, which may be charged to the credit card on file.
No-Shows: If you fail to arrive for a scheduled appointment without providing notice (a “no-show”), you will be charged the full cost of the scheduled Service(s). The applicable amount may be charged to the credit card on file.
Deposit Forfeiture: If you paid a booking deposit for your appointment, a late cancellation or no-show will result in forfeiture of the deposit in lieu of a separate fee, unless otherwise stated at time of booking. If you reschedule with late notice, we may apply your deposit to the new appointment one time as a courtesy (if the schedule allows), or we may require a new deposit. This will depend on circumstances and will be communicated to you.
How Fees Are Charged: By agreeing to these Terms and providing a card on file, you authorize us to charge your card in accordance with the above policy if you cancel late or do not show for a scheduled appointment. We will typically charge the fee on the day of the missed appointment or as soon as reasonably possible thereafter. If your card on file is declined for a cancellation fee, we will bill you for that amount, and you agree to pay the balance before further services are rendered.
Exceptions: We understand true emergencies or unforeseen circumstances happen. If you believe there was a serious reason you could not notify us in time (for example, a medical emergency or accident), please let us know as soon as possible. We may, in our discretion, waive or reduce the cancellation fee in such cases. This is decided on a case-by-case basis and is not a guarantee.
Clinic Cancellations: In the rare event we must cancel or reschedule your appointment (e.g., provider illness or an unforeseen issue at the clinic), we will make every effort to give you as much advance notice as possible. We will reschedule you to a mutually convenient time or, if you prefer, provide a full refund of any deposit paid for the cancelled appointment. However, we are not liable for any other costs you may incur (such as travel expenses) due to our need to reschedule.
By booking an appointment, you acknowledge and agree to this cancellation policy. Repeated no-shows or last-minute cancellations may result in us requiring prepayment for services or, in extreme cases, the refusal of future appointments.
Payment Due at Time of Service: All treatments and products must be paid for at the time of service. Payment in full is required on the day of your appointment, after the Services have been provided (or before, in the case of products or pre-paid packages). We accept major credit and debit cards (Visa, MasterCard, Discover, American Express), as well as cash for payment. Personal checks are not accepted. In some cases, we may offer financing options or accept third-party payment providers (such as CareCredit or Cherry financing) – please inquire about current payment options if needed.
No Insurance Billing: As noted, we do not bill or accept payment from health insurance for our Services. You may use funds from a Health Savings Account (HSA) or Flexible Spending Account (FSA) if your plan allows (certain wellness services might qualify), but we cannot guarantee HSA/FSA eligibility. We will provide receipts or invoices upon request if you seek reimbursement on your own, but you cannot assign insurance benefits to us and remain responsible for full payment.
Credit Card on File: We may request to keep a credit card on file for convenience and in accordance with our cancellation policy (see Section 3). By providing a card, you authorize its use for payment of scheduled Services and any fees as described in these Terms. We follow industry-standard security practices to protect your payment information (note: we do not store full credit card numbers ourselves; payments are processed securely via a third-party processor).
Refund Policy for Services: All sales of services are final. Once a service or treatment has been provided, no refunds will be issued for that service. In aesthetic medicine, you are paying for the provider’s time, expertise, and use of product, not for a guaranteed outcome (see Section 7 on No Guarantees). By consenting to treatment and proceeding with a service, you acknowledge that those fees are non-refundable. If you experience a complication or are dissatisfied with the outcome, we will evaluate and may offer additional treatment or remedies as medically appropriate, but additional charges may apply for any subsequent treatments or interventions to address issues or achieve further. We are committed to patient satisfaction and will work with you within reason, but under no circumstances do we promise any money-back guarantees.
Pre-Paid Packages and Services: Prepaid treatment packages, Services, gift certificates, and credit balances are generally non-refundable, except as required by applicable law. Prepaid amounts do not expire solely due to the passage of time; however, we recommend completing treatment packages within twelve (12) months of purchase when clinically appropriate.
If a treatment is discontinued, no longer medically appropriate, or you choose not to complete a package, any unused prepaid value may be applied toward other eligible Services or products, subject to applicable law and our then-current policies. Gift certificates and other balances subject to California gift certificate laws will be handled in accordance with applicable law, including any required cash redemption rights.
Product Purchases: We may offer skincare or wellness retail products for sale in-clinic. All product sales are final, with the following limited exception: if a product is unopened, unused, and in its original packaging, you may return or exchange it within 7 days of purchase. We will inspect the product and, if returnable, we can offer an exchange or clinic credit. We do not offer cash refunds on products. Products that have been opened, used, or purchased beyond 7 days cannot be returned. (If a product is found to be defective, please let us know. We will work with the manufacturer or address it case-by-case, but we cannot guarantee replacement or refund.)
Gift Cards/Certificates: If we offer gift cards or gift certificates, these are treated as non-refundable and not redeemable for cash, except where required by law. Gift cards should be safeguarded like cash; lost or stolen cards generally cannot be replaced or honored. Additional terms may be printed on the gift card or certificate. Gift cards may also carry an expiration or inactivity fee as permitted by law (any such terms will comply with California gift card laws).
Promotional Credits and Memberships: Any promotional credits (e.g., referral bonuses, loyalty points) or membership programs will be governed by their specific terms. Generally, such credits are not cash equivalents and may expire if not used. We reserve the right to modify or discontinue promotions or membership programs provided we do so in accordance with applicable law.
Taxes: Prices for Services and products do not include any applicable taxes. Sales tax will be added where required by law (for example, on retail products). Medical services in California are generally not taxed, but if any Service becomes taxable, you are responsible for those taxes as well.
By authorizing payment, you agree that you will not fraudulently dispute a credit card charge for any Service you have received or fee you have incurred under these Terms. If you have a good-faith dispute or issue with a charge, you agree to contact us to resolve it, and we will do our best to address any billing errors or concerns.
We strive to create a professional, comfortable environment for all patients. By engaging our Services, you agree to the following responsibilities and conduct requirements:
Follow Medical Instructions: You agree to follow all pre-treatment and post-treatment instructions provided to you by our clinicians. This includes preparing for procedures as advised (for example, avoiding certain medications or alcohol before treatment if instructed) and adhering to aftercare guidelines (such as wound care, medication regimens, avoiding sun exposure, attending follow-up visits, etc.). Failure to follow instructions can increase the risk of complications or diminish results, and AEDIT Medspa will not be responsible for negative outcomes arising from non-compliance.
Informed Consent: You agree to read and sign the required informed consent forms for any procedure or treatment. Our staff will explain the risks, benefits, and alternatives to you before treatment, and it is your responsibility to ask questions if anything is unclear. Do not proceed with any Service unless you fully understand and consent to it. (See Section 6 below for more on consent to treatment.)
Honesty and Cooperation: Be honest and cooperative with our providers. Answer all intake and medical questions truthfully and completely. Notify us immediately if you experience any unusual symptoms or adverse effects after a treatment. We rely on your accurate information and communication to provide safe care.
Behavior: You agree to treat our staff and other patients with respect and courtesy at all times. Any abusive, harassing, or inappropriate behavior (including but not limited to violent or threatening conduct, sexual harassment, or discriminatory remarks) will not be tolerated. We reserve the right to refuse or discontinue Services to anyone who exhibits such behavior or who violates clinic policies, in order to protect our staff and patients.
No Unauthorized Recording: To protect everyone’s privacy, you may not photograph, video, or audio-record any staff, other patients, or procedures at the clinic without prior permission. (Of course, you are free to take photos of yourself for personal use, such as progress pictures, but please be mindful of others in the background.) We will obtain your consent before taking any photos of you (see Section 6.2 on Photography), and we expect the same respect from our patients.
Personal Belongings: Please secure your personal belongings during visits. AEDIT Medspa is not responsible for loss or theft of items you bring unless caused by our gross negligence. We recommend keeping valuables at home or with you at all times.
Fitness for Treatment: On the day of service, you agree that you will not be under the influence of alcohol or illicit substances, which could contraindicate treatment or impair judgment. If you arrive in a condition not suitable for treatment (e.g., intoxicated or ill), we reserve the right to refuse treatment and consider it a late cancellation or no-show (fees may apply accordingly). This is for your safety.
Aftercare and Emergencies: You agree that if you experience a medical emergency or any severe or frightening reaction after leaving our clinic, you will call 911 or seek emergency medical care immediately (as our clinic is not equipped for emergency interventions). For less urgent concerns post-treatment, you should contact us during business hours or follow the after-hours instructions we provide. We generally provide contact information for urgent issues (like an on-call number) in your post-care instructions, but in a true emergency, always call 911 first.
Use of Service for Intended Purpose: You affirm that you are seeking our Services for personal aesthetic or wellness goals, and not for any unlawful or improper purpose. You will not use our Services or advice to obtain prescription medications or treatments for resale or for someone else. You will not falsify your identity or health information to obtain Services under false pretenses.
By adhering to these responsibilities, you help us maintain a safe and positive environment. If you have any questions about what is expected of you as a patient, please ask. We value your cooperation.
All treatments and procedures at AEDIT Medspa are voluntary and elective. Before performing any medical aesthetic or wellness procedure, we will obtain your informed consent in writing. This means we will explain the nature of the procedure, its purpose, the expected benefits, the potential risks and side effects, and any available alternatives (including the option of no treatment). You will have the opportunity to ask questions, and you should only proceed if all your questions are answered to your satisfaction.
By signing the specific consent form for a treatment (or electronically accepting, if applicable), you acknowledge that you understand the information provided, that you consent to the procedure and accept the risks, and that no guarantees have been made regarding outcomes (see Section 7). You also agree to follow any pre- and post-care instructions associated with the procedure (as per Section 5). If you do not understand something, it is your responsibility to ask for clarification before treatment begins.
You have the right to refuse or withdraw consent for a procedure at any time, even after signing. However, if you decide not to undergo a scheduled treatment on the day of service, you may be responsible for a cancellation fee (if you decide at the last minute) and any non-refundable deposit or costs incurred for preparation of the treatment. We will discuss your options with you in such a case. Your health, autonomy, and comfort are our priority – you will never be forced to receive a Service you do not want.
For certain Services (for example, hormone therapies or weight management programs), informed consent may be an ongoing process where we provide updated information as your treatment progresses and require additional consents for adjustments or long-term therapy. We will comply with all specific consent requirements mandated by California law (such as special consents for medical weight loss programs or use of certain medications, if applicable).
As part of your care, we may request that to take clinical photographs or videos of the area of treatment. These images are used only for legitimate clinical purposes such as establishing a baseline, planning treatment, and documenting results over time. For example, we often take “before and after” photos to assess the effectiveness of a procedure. By accepting these Terms and undergoing treatments, you consent to medical photography for these internal uses. Such photos will be kept confidential as part of your medical record.
We will not use or publish any identifiable images of you for marketing or any other non-clinical purpose without your separate written consent. On occasion, patients may voluntarily agree to share testimonials or photos. If you choose to do so, we will provide a specific Photo Release form outlining how the images or testimonials will be used (for example, on our website or social media), and you can decide whether to grant that permission. If you do not wish for your photos to be used in any public-facing way, you are under no obligation to consent to that – it will not affect your treatment in any way.
If you have any concerns about photography, please discuss them with us. In certain cases (such as some body treatments), you may request to anonymize the photos (e.g., excluding your face or identifying features) and we will accommodate if feasible. You may also withdraw consent for future clinical photographs, but note that we may still retain any images already taken as part of the medical record (which we must maintain confidentiality per law). We do not allow patients to photograph staff without permission, as stated in Section 5, to ensure everyone’s privacy.
By becoming a patient, you consent to receive communications from us relevant to your treatment and our Services, including appointment reminders, follow-up calls/messages, and information about treatment alternatives or health-related benefits that may be of interest. These communications may come via phone, email, or text. You can opt out of marketing emails at any time (see our Privacy Policy for marketing opt-out), but operational or health-related communications will continue as needed for your care. We will handle your personal contact information in accordance with HIPAA and our Privacy Policy.
Individual results will vary. You acknowledge and accept that in the practice of medicine, and particularly in cosmetic and wellness treatments, outcomes are highly individual and never guaranteed. While we strive to achieve the best possible results for you, AEDIT Medspa has not made any guarantee, warranty, or assurance that any Service will meet your expectations or achieve any specific outcome. In fact, it would be unethical and against standard practice to guarantee results in medical aesthetics.
Key points regarding results:
No Guaranteed Results: We do not guarantee that you will see a particular result (e.g., an exact amount of wrinkle reduction or a certain weight loss) or that results will be permanent. Many treatments are subject to biological variation and factors outside our control, including how your own body responds. No outcome is promised or implied beyond our commitment to perform the Services with appropriate care and skill.
Multiple Sessions or Maintenance: You understand that some goals may require multiple treatment sessions or ongoing maintenance. For example, laser hair removal may only reduce hair growth after several sessions, and hormonal therapy results can vary and require dose adjustments. We will advise you on realistic expectations and treatment plans. Even with a full recommended course, results can differ from patient to patient.
Aesthetics is not an Exact Science: The practice of medicine and aesthetics is not an exact science; responses to treatments will vary. We cannot predict with certainty how any individual will respond. There is a possibility that a procedure may result in less improvement than hoped, or in rare cases, no significant change, despite proper application. In such cases, you remain responsible for payment for the treatment itself, as the fees cover our time, expertise, and use of products, not a guaranteed effect.
Risks and Complications: All procedures carry some risk of side effects or complications, which are covered in the informed consent for each specific Service. Common side effects (like temporary swelling or bruising) are not “negative outcomes” but expected transient effects. More serious complications, while uncommon, can occur despite proper care. We will address any complications or adverse outcomes in accordance with medical standards, but again, we do not guarantee a risk-free experience.
No Refunds for Dissatisfaction: As noted in our Refund Policy (Section 4), we do not give refunds simply because a result is not as expected, provided the service was delivered appropriately. However, we do want you to be satisfied and will do our best to work with you. This may include offering additional touch-ups or alternative treatments at standard cost, or in certain situations, providing a minor corrective service at a reduced fee or no additional cost if we determine it’s appropriate. Such decisions are made on a case-by-case basis and are at our discretion; they are not a waiver of this no-refund policy.
Patient Acknowledgment: By proceeding with any Service, you acknowledge that no guarantee or warranty has been made by any representative of AEDIT Medspa regarding the results. Any before-and-after photos or testimonials provided are for illustrative purposes only; they do not imply you will have the same outcome. Your own results depend on many factors, including individual anatomy, genetics, lifestyle, and adherence to aftercare, among others.
We encourage you to maintain realistic expectations and to communicate openly with us about your goals. If at any time before a procedure you feel that you have unrealistic expectations or have misgivings, please discuss with the provider or consider postponing until you are comfortable. We want all patients to make informed decisions without undue pressure or false hope.
By receiving our Services, you understand and agree that, to the fullest extent permitted by law, AEDIT Medspa and its physicians, providers, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages of any kind arising out of or in connection with the Services or your use of our Services. This includes, without limitation, any loss of income, loss of opportunity, pain and suffering, emotional distress, or other non-economic damages you might claim, even if we have been advised of the possibility of such damages.
Maximum Liability: To the extent permitted by law, the maximum aggregate liability of AEDIT Medspa (and its affiliates and personnel) to you for any and all claims arising from the Services or these Terms shall not exceed the total amount you paid to AEDIT Medspa for the specific Service(s) giving rise to the claim. For example, if you paid for a particular treatment that you claim caused you injury or loss, our liability will be capped at the fee you paid for that treatment.
No Liability for Certain Outcomes: You assume all risks inherent in or associated with the elective Services to the extent those risks were disclosed to you or are considered typical for such procedures. While we endeavor to provide quality care, you agree that complications or undesired outcomes that are known risks of a procedure (and were accepted by you in the informed consent process) are not the basis of any liability on the part of AEDIT Medspa, provided the treatment was delivered with appropriate care. In other words, an unsatisfactory or limited result, or a minor complication, is not a breach of our agreement but rather a potential risk you agreed to accept. We will, of course, work to mitigate any issues, but we can only be responsible for harm caused by our failure to meet the standard of care.
No Punitive Damages: The foregoing limitation of liability applies to all legal theories of recovery, whether based in contract, tort (including negligence or medical malpractice), strict liability, or otherwise. In no event will we be liable to you for any punitive or exemplary damages or any damages that are intended to punish or make an example of a wrongdoer, even if any such damages might be available under applicable law for a separate claim. You and we agree that the exclusions and limitations of liability in these Terms are reasonable in light of the prices charged for our Services, which would be higher if our liability were not limited.
Exceptions: Nothing in these Terms is intended to exclude or limit liability for any matter that cannot be limited by law. In particular, we do not seek to limit our liability for gross negligence, willful misconduct, or fraud, or for any personal injury or property damage directly caused by our negligent provision of Services to the extent such limitation is prohibited by California law. However, to the extent California law allows limitation of liability for ordinary negligence in the context of elective medical services (aside from professional malpractice), the above limitations shall apply.
Indemnity: You agree that if you violate these Terms or misuse our Services in any way that causes harm to us, or if you provide false information or omit critical information that causes us damages, you will indemnify, defend, and hold harmless AEDIT Medspa and its staff from any resulting claims, losses, or liabilities. This means you may need to reimburse us for costs (including reasonable attorneys’ fees) incurred due to your breach of these Terms or wrongdoing. For instance, if you failed to disclose a medical condition and it led to a claim against us, you would be responsible for indemnifying us in that situation.
This Limitation of Liability section shall survive the termination or expiration of your relationship with AEDIT Medspa. Different states may not allow the exclusion or limitation of certain damages; if such laws apply, some of the above limitations may not apply to you. However, in any dispute, this Agreement will be interpreted to provide AEDIT Medspa the maximum protection from liability permissible under law.
No Warranties on Services: All Services provided by AEDIT Medspa are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied. We make no warranty that the Services will be effective or meet your requirements or expectations. To the fullest extent permitted by law, we expressly disclaim all implied warranties, including but not limited to implied warranties of merchantability or fitness for a particular purpose, with respect to our Services and any products we use or recommend. The application of these legal warranty terms in a medical context simply means: we are not “warranting” a cure or a result.
No Warranty of Outcome: As stated, we do not guarantee any particular outcome or result from the Services. Any information or advice we give is based on general experience and training, but it is not a promise that you will achieve a specific outcome.
Website and Informational Use: If you have obtained any information about AEDIT Medspa or our Services via our website or other materials, note that all such content is for general informational purposes and not a guarantee or warranty. We strive for accuracy, but we do not warrant that any content (e.g., service descriptions, pricing, or medical information) is error-free or complete at all times. Always confirm details with our staff.
No Continuing Obligation: Providing a Service to you does not obligate us to achieve any further results beyond the Service itself. For example, if we administer a treatment, we are not providing a continuing warranty that your condition will remain improved or that you will have no future issues. Maintenance of results or additional needs will be managed as separate services according to these Terms.
Third-Party Products or Services: Sometimes we may recommend or sell third-party products (such as skincare lines or supplements) or refer you to third-party services. We do not make any warranty as to those third-party items. Any products you purchase are covered only by whatever manufacturer warranty they may have (if any), and we specifically disclaim responsibility for those products’ performance beyond assisting you in obtaining them. Similarly, if we refer you to an outside specialist or service, we are not responsible for their care or outcomes.
In summary, while we commit to providing our Services with reasonable skill and care, we cannot and do not provide any warranty that any Service will yield any particular result or be free from all adverse effects. Use of our Services is at your own informed risk. This Disclaimer of Warranties is a fundamental part of our Agreement and a key factor in our setting of fees and willingness to treat you.
Clinic Materials and Content: All content and materials provided to you by AEDIT Medspa, whether in our brochures, forms, care instructions, or displayed within our clinic, as well as any content on our website or digital platforms (to the extent you interact with them separately), are the property of AEDIT Medspa or its licensors and are protected by intellectual property laws. This includes our business name, logos, artwork, photographs we have taken, and written materials (e.g., treatment descriptions or post-care instructions). You are granted a personal, non-transferable license to use these materials only for your own non-commercial, informational purposes in connection with your Services. For example, we provide you copies of aftercare instructions for your personal use – you may not reproduce or distribute them to others except to share with your personal healthcare provider if needed for your care.
Restrictions: You may not copy, reproduce, republish, upload, distribute, or modify any of AEDIT Medspa’s content or intellectual property without our prior written consent. Any unauthorized use is strictly prohibited and may violate copyright, trademark, and other laws. This includes our AEDIT name and any associated trademarks. You may not use our name or logo in any manner that could confuse others or imply endorsement without permission.
Patient Data and Before/After Photos: As discussed in Section 6, any clinical photographs of you are part of your medical record (our property, kept confidential) and/or are used with your permission for marketing if you give such permission. You do not obtain rights to any before/after collage or similar materials that we might create (though you, of course, can have a copy for personal use). We will honor your privacy rights in those materials per Section 6.2.
Third-Party Intellectual Property: We sometimes utilize third-party proprietary products or materials in delivering Services (for instance, branded injectables, devices, or patented techniques). All such third-party intellectual property remains owned by those third parties. Our inclusion or use of them is under license or permission. You agree not to reverse-engineer or replicate any of the treatments or devices we use, nor to infringe on any third-party rights we expose you to during your care.
This section simply means: please respect the information and materials you receive from us. They are meant for you as a patient. Commercial use or sharing beyond that scope is not allowed without permission.
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Services or this Agreement shall be governed by and construed in accordance with the laws of the State of California, USA, without giving effect to any conflict of law principles that might result in the application of the laws of another jurisdiction.
In essence, because AEDIT Medspa operates in California, we mutually agree that California law will apply to the interpretation and enforcement of these Terms and any Services provided to you, regardless of where you reside or receive this contract. If you are a United States resident, relevant federal law (for example, the Federal Arbitration Act, as mentioned below, or HIPAA for privacy) will also apply where applicable. International laws do not apply to our Services, since we do not offer Services outside the U.S. as noted.
By agreeing to these Terms, you and AEDIT Medspa agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your use of the Services (collectively, “Disputes”) shall be resolved through binding individual arbitration rather than in court, including any claim for bodily injury or medical malpractice, except that either party may (a) bring an individual action in small claims court, or (b) seek temporary or preliminary injunctive relief in court relating to alleged misuse of intellectual property or confidential information.
The arbitration shall be conducted confidentially before a single neutral arbitrator in a location mutually agreed upon, in accordance with the Consumer Arbitration Rules of the American Arbitration Association (AAA), and governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.) and applicable California medical arbitration laws, including California Code of Civil Procedure Section 1295. The arbitrator shall have exclusive authority to resolve all issues relating to the interpretation, applicability, scope, or enforceability of this arbitration provision and may award any relief available in court, consistent with these Terms. You and AEDIT Medspa waive any right to a jury trial and agree not to participate in any class, collective, or representative action, whether in arbitration or otherwise. All arbitration proceedings shall be conducted on an individual basis only.
Before commencing arbitration, the parties agree to attempt in good faith to resolve any Dispute within thirty (30) days after written notice is provided. Any arbitration must be initiated within one (1) year after the claim arises, or it shall be permanently barred to the fullest extent permitted by law.
You may opt out of this arbitration provision within thirty (30) days of first accepting these Terms by sending a written opt-out notice to: AEDIT Medspa P.C., 8302-A Melrose Avenue, West Hollywood, CA 90069, Attn: Arbitration Opt-Out, or by emailing a signed notice to privacy@aedit.com with “Arbitration Opt-Out” in the subject line.
Entire Agreement: These Terms and Conditions (together with any other documents expressly referenced herein, such as any separate Privacy Policy or specific informed consent forms you sign for treatments) constitute the entire agreement between you and AEDIT Medspa with respect to the subject matter hereof. It supersedes all prior and contemporaneous understandings, agreements, representations, and warranties (whether written or oral) concerning the Services. In other words, you should not rely on any promises or representations about the Services that are not contained in these Terms or in the official documents we provide to you in writing. Any changes to this Agreement must be in writing and agreed to by us (except as otherwise provided in Section 13 “Changes to Terms” below).
Severability: If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be eliminated or limited to the minimum extent such that the rest of the Agreement will continue in full force and effect. In other words, the remainder of the Terms will not be affected and will remain enforceable.
No Waiver: No waiver by AEDIT Medspa of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or any other term. Likewise, our failure to assert a right or provision under these Terms shall not constitute a waiver of that right. For example, if you miss an appointment and we do not charge a cancellation fee one time, it does not mean we waive our right to enforce the policy in the future.
Assignment: You may not transfer or assign any rights or obligations under these Terms to any other person. Your relationship with AEDIT Medspa is personal to you as the patient. AEDIT Medspa, however, may assign or transfer its obligations under this Agreement in the event of a business transfer (such as a merger, sale of the company or its assets to another provider), and these Terms will inure to the benefit of our successors or assigns.
Changes to Terms: AEDIT Medspa reserves the right to modify or update these Terms and Conditions at any time. If we make material changes, we will notify you by (i) posting the updated Terms at our clinic and on our website and updating the “Effective Date” above, and/or (ii) other communication (such as email or in-person notice). Changes will be effective immediately upon posting or as of the stated effective date. It is your responsibility to review these Terms periodically for updates. By continuing to use our Services or remaining a patient after any changes to the Terms, you agree to be bound by the updated Terms. If you do not agree to the revised Terms, you should inform us and discontinue receiving Services (you always have the right to cease being our patient, subject to any ethical or legal obligations we have to give notice or referrals in certain cases).
Headings and Language: The section headings in this Agreement are for convenience of reference only and have no legal effect. Throughout these Terms, when we say “including,” it means “including without limitation.” The language in these Terms shall be interpreted as to its fair meaning and not strictly for or against either party.
Compliance with Laws: Both parties will comply with all applicable federal, state, and local laws and regulations in connection with these Terms and the Services. AEDIT Medspa is operated by licensed professionals and abides by California’s Medical Board rules (for example, the requirement that a physician medical director oversees the practice and that only qualified, licensed individuals perform or delegate medical treatments). We also follow privacy laws (see our separate Privacy Policy) and healthcare regulations. You agree not to cause us to violate any laws by your request (for instance, asking for a prescription or treatment that is not properly evaluated or that you intend to misuse).
Your California Rights: California law provides certain additional rights to patients. For example, you may request copies of your medical records (we may charge a reasonable copying fee). California law also requires that we inform you how to file a complaint: The Medical Board of California is the state agency that licenses physicians. The Medical Board’s consumer information line is 1-800-633-2322, and their website is www.mbc.ca.gov. If you have concerns about a physician or the Services provided, you may contact the Medical Board. (Note: This is a standard notice; we encourage you to discuss any concerns with us first so we can address them directly.)
Finally, please note that nothing in these Terms is meant to contradict or override any rights you have as a patient under California law or U.S. law (such as the right to informed consent, the right to access your health information, or any protections under the California Consumer Privacy Act for your personal data). We intend for these Terms to be compliant with all applicable laws, and they will be interpreted in such a manner.
